Terms and Conditions of LOOMIO
Definitions
- LOOMIO: The company LOOMIO, registered in Amstelveen, under Chamber of Commerce number 864052753.
- Client: The individual or business entering into an agreement with LOOMIO.
- Consumer: A client acting as a private individual, not on behalf of a business.
Applicability
These terms and conditions apply to all offers, agreements, and deliveries by or on behalf of LOOMIO. Deviations from these terms are only valid if agreed to in writing. Additional or deviating terms of the client or third parties are explicitly excluded.
Pricing
- All prices are in euros, inclusive of VAT, and exclusive of additional costs (e.g., shipping, administrative fees) unless stated otherwise.
- LOOMIO reserves the right to change prices at any time.
- If price increases are due to unforeseen cost increases, the client has the right to cancel the agreement.
Delivery and Shipping
- Deliveries are subject to availability.
- Online orders are shipped to the address provided by the client.
- If payment obligations are not met, LOOMIO reserves the right to suspend delivery.
Delivery Times
- Estimated delivery times are not binding and do not grant the client the right to cancel or claim compensation unless explicitly agreed otherwise.
- If the delivery time is exceeded by more than 14 days, the client may cancel the order.
Liability
LOOMIO is only liable for direct damages caused by intentional or reckless misconduct. Indirect damages, such as lost profits or third-party claims, are not covered.
Warranty
The warranty only applies to manufacturing defects and does not cover normal wear and tear, misuse, or damage caused by accidents or negligence.
Complaints
Clients must report complaints about delivered goods or services within one month of discovering the issue. For consumers, this period is extended to two months.
Retention of Title
- All products remain the property of LOOMIO until the client has fulfilled all payment obligations.
- Clients may not sell, pledge, or otherwise encumber products under retention of title before ownership has been transferred.
- If payment obligations are not met, LOOMIO reserves the right to reclaim the products.
Right of Suspension
Unless the client is a consumer, the client waives the right to suspend any obligations arising from the agreement.
Force Majeure
- LOOMIO is not liable for failure to fulfill its obligations due to circumstances beyond its control, such as natural disasters, strikes, or disruptions in supply chains.
- In such cases, LOOMIO has the right to suspend its obligations. If the situation persists for more than 30 calendar days, either party may terminate the agreement without penalty.
Guarantee and Liability
- The warranty covers only defects resulting from manufacturing, construction, or material issues.
- It does not cover normal wear and tear, misuse, accidents, or modifications made to the product.
- LOOMIO is only liable for direct damages caused by intentional misconduct or gross negligence. Indirect damages, such as loss of income, are excluded.
Complaints Procedure
- Complaints about delivered products or services must be reported promptly.
- For non-consumers, the reporting period is one month. Consumers have two months to report issues.
- Complaints must be as detailed as possible to allow LOOMIO to respond effectively.
Amendments to the Agreement
If changes to the agreement are necessary for its execution, parties will adjust the agreement in mutual consultation.
Governing Law and Disputes
- All agreements between LOOMIO and the client are governed by Dutch law.
- Disputes will be resolved by the competent court in the district where LOOMIO is established unless mandatory legal provisions stipulate otherwise.
Cookies and Analytics
- Google Analytics: Cookies are used to monitor website usage and improve performance. This data may be shared with Google for analytical purposes.
- Third-party Cookies: If third-party software uses cookies, this is explicitly mentioned in the privacy statement.
Changes to the General Terms and Conditions
- LOOMIO reserves the right to amend its terms and conditions. Minor changes can be implemented without prior notice. Significant changes will be communicated to clients in advance.
Termination of Agreement
- The client may terminate the agreement if LOOMIO fails to meet its obligations, except in cases of minor breaches.
- LOOMIO may terminate the agreement if the client fails to fulfill their obligations or if there is a legitimate concern about the client’s ability to comply.
